FloraFlex Shipping & Delivery Policy

This Shipping & Delivery Policy applies to FloraFlex-branded products sold directly by Cresthaven Agricultural Corp. ("Cresthaven," "we," "us," or "our").
Products purchased from an independent distributor, reseller, retailer, marketplace, or other third party may be subject to that seller's shipping and delivery terms.
1. Shipping Charges
Unless expressly stated otherwise in a written quotation, sales order, or other written agreement, product prices do not include freight or shipping.
Shipping charges may be:
- shown during checkout;
- quoted separately;
- invoiced after carrier confirmation; or
- incorporated into a delivered-price quotation.
Quoted freight charges may be estimates unless expressly identified as fixed.
2. Delivery Estimates
Production dates, vessel schedules, estimated times of departure, estimated times of arrival, transit times, appointment dates, and delivery dates are estimates unless Cresthaven expressly guarantees a date in writing.
Cresthaven is not responsible for delays caused by events outside its reasonable control, including:
- carrier delays;
- port congestion;
- customs delays;
- weather;
- labor disruptions;
- vessel schedule changes;
- equipment shortages;
- road closures;
- government action;
- supplier delays;
- natural disasters; or
- other force-majeure events.
3. Delivery Information
For pallet, truckload, or container deliveries, Customer is responsible for providing complete and accurate:
- delivery addresses;
- contact names and telephone numbers;
- receiving hours;
- appointment requirements;
- dock information;
- access restrictions;
- unloading requirements; and
- other information reasonably necessary for delivery.
Customer must promptly notify Cresthaven of any requested delivery change.
Changes requested after shipment, dispatch, container booking, or carrier appointment may result in additional charges.
4. Receiving Requirements
Customer is responsible for ensuring that the delivery location can safely receive the applicable shipment.
Unless otherwise agreed in writing, Customer is responsible for providing any necessary:
- loading dock;
- forklift;
- pallet jack;
- lift equipment;
- labor;
- receiving personnel; or
- other unloading resources.
The carrier or Cresthaven may decline to complete delivery where conditions are unsafe or where the location cannot reasonably receive the shipment.
5. Accessorial Charges
Customer is responsible for additional charges resulting from circumstances attributable to Customer or the delivery location, including:
- detention;
- demurrage;
- chassis use;
- storage;
- port charges;
- missed appointments;
- redelivery;
- liftgate service;
- restricted-access service;
- inside delivery;
- layover;
- excessive unloading time;
- incorrect or incomplete delivery information;
- refused shipments; and
- other carrier accessorial charges.
These charges may be invoiced after delivery when they are not known at the time of the original quotation or invoice.
6. Risk of Loss
Unless another shipping term is expressly stated in the applicable quotation, sales order, invoice, or written agreement, shipments are FOB shipping point, and risk of loss passes to Customer when the products are delivered to the carrier.
If a transaction expressly uses an Incoterm or another shipping term, that specific term controls.
Cresthaven may arrange transportation on Customer's behalf without assuming the carrier's responsibilities.
7. Inspection at Delivery
Customer should inspect each shipment promptly upon delivery.
Visible damage, shortages, missing pallets, or other apparent discrepancies should be noted on the bill of lading, proof of delivery, or other carrier documentation before signing whenever reasonably possible.
Customer should retain all packaging and damaged product until Cresthaven or the carrier confirms that disposal is permitted.
8. Freight Claims
To help evaluate or pursue a freight claim, Cresthaven may require:
- photographs;
- pallet counts;
- product quantities;
- lot or serial information;
- bill of lading;
- proof of delivery;
- delivery appointment records;
- packaging photographs;
- carrier documentation; and
- other reasonable evidence.
Failure to preserve evidence or timely report a claim may affect the ability to recover from a carrier.
Cresthaven will reasonably assist Customers with eligible freight claims but does not guarantee recovery from a carrier.
9. Refused Deliveries
A shipment should not be refused without first contacting Cresthaven unless accepting the shipment would be unsafe or materially prejudice a claim.
Customer may be responsible for storage, redelivery, return freight, restocking, and other charges resulting from an improper or unauthorized refusal.
10. International and Direct-Import Orders
Direct-import and international orders may be subject to separate terms concerning:
- Incoterms;
- importer-of-record responsibility;
- customs clearance;
- duties and tariffs;
- taxes;
- port charges;
- documentation;
- insurance;
- inspection; and
- inland delivery.
The applicable quotation, sales order, or separate written agreement controls if it conflicts with this Policy.
